The following is a letter from Troy Henry, chairman of the Board of Directors of St. Augustine High School, that outlines an agreement reached regarding the governance of the school:

December 21, 2011 Re: Resolution of Governance Dispute Dear Parent or Faculty Member:

The Board of Directors of St. Augustine High School ( the “Board”) is pleased to inform you that the prior disputes between members of the Board and the St. Joseph Society of the Sacred Heart, Inc. (the “Josephites”) regarding governance at St. Augustine High School (the “School”), and the related litigation have been resolved. The full Board has been reinstated; and new By-Laws have been adopted with the approval of the Board and the Josephites.

The new structure/By-Laws accomplishes the Board’s objective of self-governance while maintaining the School’s Catholic identity and relationship with the Josephites. We are grateful to Dr. Norman Francis for his efforts in assisting the parties with the development of the new By-Laws which clearly set forth the respective roles and responsibilities of the Board and the Josephites.

We are confident that this new model will allow us all to move forward together to continue our School’s proud tradition of excellence in every endeavor. As you may know, Fr. John Raphael relocated to Baltimore based on the results of his canonical appeal of his reassignment. We thank Fr. Raphael for his service to the School, and for the numerous gains realized during his tenure as Principal and as President. We are committed to building upon that success.

The Board will be conducting a search for the best qualified person to serve as the School’s next President. In the meantime, the Board and the School’s Administration will all work together to fulfill the responsibilities of the President.

As we move forward, we want to assure you that St. Augustine High School is well positioned to continue our 60 year tradition of educating and developing young men who will be leaders in our community. We invite you to join us in working to ensure that St. Augustine High School and our students realize their full potential. We thank you for your continued support. Please accept our best wishes for a joyous and peaceful holiday season.

Sincerely, Troy Henry, Chairman
